Terms of Service

Welcome to Otomatik Ventures ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our email hosting and management services. By using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our services, you agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with these Terms, please do not use our services.

2. Service Description

Otomatik Ventures provides fully managed business email hosting and management services, including:

  • Email hosting and infrastructure management
  • Domain and DNS configuration
  • Email account setup and device configuration
  • Email migration services
  • Ongoing maintenance and technical support
  • Security monitoring and spam filtering
  • On-site support for Enterprise customers

3. Account Registration and Eligibility

To use our services, you must:

  • Be at least 18 years old or have legal capacity to enter into a binding contract
  • Provide accurate, complete, and current registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities that occur under your account

4. Pricing and Payment

4.1 Fees: Our services are provided on a subscription basis with the following fee structure:

  • One-time setup fee: $100 (unless otherwise specified)
  • Monthly per-user fee: As specified in your selected plan
  • Monthly maintenance fee: $10/month
  • Domain registration: Approximately $20/year (where applicable)

4.2 Payment Terms:

  • Setup fees are due before service activation
  • Monthly fees are billed in advance on the first day of each billing cycle
  • Payment methods accepted include bank transfer, credit/debit cards, and other methods as communicated
  • All fees are non-refundable unless otherwise stated in writing

4.3 Late Payment: Failure to pay fees on time may result in service suspension or termination. A late fee may be applied to overdue accounts.

5. Service Level and Uptime

We strive to maintain 99.9% uptime for our email services. However, we do not guarantee uninterrupted service and are not liable for downtime caused by:

  • Scheduled maintenance (with advance notice when possible)
  • Force majeure events (natural disasters, power outages, etc.)
  • Third-party service provider issues
  • Customer misuse or security incidents

6. Acceptable Use Policy

You agree not to use our services for:

  • Sending spam, unsolicited bulk emails, or phishing messages
  • Distributing malware, viruses, or malicious software
  • Illegal activities or content that violates Nigerian or international law
  • Harassing, threatening, or abusing others
  • Infringing on intellectual property rights
  • Excessive use that impacts service performance for other customers
  • Attempting to gain unauthorized access to our systems or other users' accounts

Violation of this policy may result in immediate account suspension or termination without refund.

7. Data and Content

7.1 Your Content: You retain ownership of all content you store or transmit through our services. You grant us a limited license to host, store, and process your content solely to provide our services.

7.2 Backups: While we perform regular backups, you are responsible for maintaining your own backup copies of important data. We are not liable for data loss.

7.3 Data Privacy: We handle your data in accordance with our Privacy Policy and applicable data protection laws.

8. Support and Maintenance

All service packages include ongoing technical support and maintenance:

  • Prompt response to support inquiries via phone, email, or WhatsApp
  • Proactive monitoring and issue resolution
  • Regular security updates and patches
  • System optimization and performance tuning

Enterprise customers receive dedicated account management and on-site support as specified in their service agreement.

9. Service Modifications and Termination

9.1 By You: You may terminate your account at any time by providing 30 days' written notice. No refunds will be provided for prepaid fees.

9.2 By Us: We may suspend or terminate your account if:

  • You violate these Terms or our Acceptable Use Policy
  • Payment is overdue for more than 15 days
  • We cease operations or discontinue the service

We will provide reasonable notice before termination except in cases of serious violations.

9.3 Service Changes: We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not responsible for third-party services, content, or data loss

11. Indemnification

You agree to indemnify and hold harmless Otomatik Ventures and its employees from any claims, losses, damages, or expenses (including legal fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your content or data

12. Intellectual Property

All intellectual property rights in our services, including software, trademarks, and documentation, remain our property. You may not copy, modify, distribute, or reverse engineer our services without written permission.

13. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the provision of services. This obligation survives termination of the service agreement.

14. Dispute Resolution

14.1 Governing Law: These Terms are governed by the laws of the Federal Republic of Nigeria.

14.2 Dispute Resolution: Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of Nigerian courts.

15. Force Majeure

We are not liable for failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, power failures, or government actions.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Otomatik Ventures regarding our services.

18. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our website. Continued use of our services after such changes constitutes acceptance of the updated Terms.
